Terms of Service

This document is a draft and is subject to legal review before launch.

These Terms of Service ("Terms") govern your use of syndicAI, a service operated by syncrea GmbH, 8050 Zurich, Switzerland ("we," "us," "our"). By creating an account or using the service, you agree to these Terms.

1. Acceptance of Terms

By accessing or using syndicAI, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the service.

If you are using syndicAI on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Account Creation and Responsibilities

To use syndicAI, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Keep your account credentials secure
  • Promptly notify us of any unauthorized access to your account
  • Be responsible for all activity that occurs under your account

You must be at least 18 years of age to use the service.

3. Squad Server Usage

Acceptable Use

You may use syndicAI Squad Servers for lawful software development purposes, including but not limited to code generation, code review, test writing, refactoring, and documentation.

You may not use Squad Servers to:

  • Generate malicious code, malware, or tools designed to exploit vulnerabilities
  • Conduct automated attacks, scraping, or denial-of-service activities
  • Process content that violates applicable laws or third-party rights
  • Resell or redistribute API access to parties outside your squad without authorization

Fair Usage of GPU Resources

Squad Servers are provisioned with dedicated GPU resources for your tier's allocated hours per day. You may consume tokens without per-token limits during active hours. However, we reserve the right to throttle or suspend access if we detect usage patterns that are abusive or that degrade service for other users (e.g., automated load testing, cryptocurrency mining, or non-inference workloads).

4. Billing and Payments

Prepaid Credit System

syndicAI operates on a prepaid credit model. You add credit to your account via Stripe and credits are deducted every 15 minutes while your Squad Server is running. The charge is based on your server's published hourly rate (e.g. ~$3.28/hr for the reference 8× RTX 5090 configuration running MiniMax M2.5 AWQ).

Weekly GPU Budget

Your tier defines a weekly GPU hour budget that resets every Monday at 00:00 UTC. When the budget is exhausted, your server auto-stops and cannot be restarted until the next reset. There are no overage charges.

Credit Exhaustion

If your credit balance reaches zero, all running instances are stopped immediately. You can top up your credit and restart manually. Auto top-up is available to prevent interruptions.

Squad Cost Splitting

The squad owner's credit balance pays for the shared server. The owner may choose to split costs with members (equal split) or cover the full cost (owner-pays).

Refund Policy

  • Credit balances are non-expiring and can be used at any time
  • GPU time consumed is non-refundable
  • Billing disputes should be reported within 30 days of the charge

Price Changes

We may adjust the published hourly rates with 30 days' notice. GPU spot prices fluctuate based on market conditions.

5. API Keys

Each squad member is issued API keys for accessing the Squad Server. You are responsible for:

  • Keeping your API keys confidential
  • Not sharing API keys with anyone outside your squad
  • Revoking compromised keys immediately through the dashboard
  • Understanding that all usage under your API key is attributed to your account

We are not liable for unauthorized use of your API keys.

6. Service Availability

syndicAI is provided on a best-effort basis. We do not offer a formal Service Level Agreement (SLA) at this stage.

GPU spot market infrastructure has inherent variability. Instances may occasionally be interrupted by the underlying infrastructure provider. syndicAI handles automatic migration and restart, but brief service interruptions may occur.

We target high availability but cannot guarantee uninterrupted service. We will communicate planned maintenance and known outages through the dashboard and status page.

7. Intellectual Property

Your Content

You retain all rights to code, prompts, and outputs generated through your use of syndicAI. We do not claim any ownership of content you create or process through Squad Servers.

Our Service

syndicAI's platform, branding, documentation, and original content are owned by syncrea GmbH. You may not copy, modify, or redistribute our platform or branding without permission.

Open-Source Models

The AI models available on syndicAI are open-weight models licensed under their respective open-source licenses. Your use of model outputs is governed by the applicable model license.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

  • syndicAI is provided "as is" without warranties of any kind
  • We are not liable for indirect, incidental, special, consequential, or punitive damages
  • Our total liability for any claim is limited to the amount you paid us in the 12 months preceding the claim
  • We are not responsible for the accuracy, quality, or fitness of AI model outputs for any particular purpose

9. Termination

By You

You may cancel your subscription at any time through the dashboard. Your Squad Server remains active until the end of the current billing period.

By Us

We may suspend or terminate your account if:

  • You violate these Terms
  • Your payment method fails repeatedly
  • We detect abusive usage patterns
  • We are required to do so by law

We will provide reasonable notice before termination except in cases of severe Terms violations.

Effect of Termination

Upon termination, your Squad Server is shut down and your data is deleted from the GPU instance. Account data (email, billing records) is retained as required by law and our Privacy Policy.

10. Governing Law and Disputes

These Terms are governed by the laws of Switzerland. Any disputes arising from these Terms or your use of syndicAI shall be subject to the exclusive jurisdiction of the courts of Zurich, Switzerland.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or dashboard notification at least 30 days before taking effect. Continued use of the service after changes take effect constitutes acceptance.
